CONTEST TERMS AND CONDITIONS

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. These Contest Terms and Conditions ("Terms") govern participation in time-limited contests ("Contests") hosted by Valora, Inc. ("Sponsor"). 1. ELIGIBILITY The Contests are open only to natural persons who: • Are at least 18 years old at the time of entry; • Reside in non-OFAC sanctioned jurisdictions and in jurisdictions where such contests are not prohibited by law; • Have access to an ERC-20 compatible wallet; and • Are not employees, contractors, officers, directors, or stakeholders of Valora, or any of their affiliates, subsidiaries, or agents. Void in all jurisdictions where restricted or prohibited by law. 2. CONTEST PERIOD Each Contest runs for a specific, limited duration (e.g., one week), and the start and end times are posted prominently on the platform prior to entry. Valora reserves the right to modify contest schedules at its discretion. 3. ENTRY METHODS You may enter a Contest in one of the following ways: Slice-Based Voting Users receive an initial allocation of ten (10) Slices upon connecting their wallet to the Contest. Slices may be used to vote on Contest questions. Votes are final and non-refundable, and each Slice vote constitutes one entry. 4. VOTING MECHANICS Each Contest poses either: • A binary real-world question (e.g., "Did BTC hit $150,000?"), where correct answers are verified using reputable data sources, OR • A non-binary popularity vote, where the option receiving the most Slice votes is declared the winner. 5. REWARDS AND TOKEN DISTRIBUTION The reward pool for each Contest is comprised of: • A fixed Sponsor-supplied Slice allocation, and • All Slices spent on incorrect or non-winning votes. Upon Contest resolution, Slices are distributed automatically on-chain to wallet addresses that voted for the correct or winning option using the following formula: User Reward = (User's Votes / Total Winning Votes) × (Total Losing Votes + Reward Pool) Rewards are distributed within a reasonable time after Contest closure. Only users who voted correctly (or for the winning option) will receive rewards. All incorrect Slices are permanently forfeited. 6. ABOUT Slices Slices are non-transferable ERC-20 tokens on CELO and may serve as: • A measure of participation and reputation within the Divvi Ecosystem, • A possible factor in future discounts or token launches. Slices have no monetary value, cannot be traded or exchanged, and do not constitute legal tender, securities, or commodities. 7. LIMITATIONS OF LIABILITY Sponsor is not responsible for: • Network or blockchain outages, • Gas fees, • Loss of Slices due to user error, • Third-party wallet failures, or • Misinterpretation or dispute of Contest outcomes. All decisions made by Valora are final and binding. 8. PUBLICITY AND PRIVACY By entering, users agree to the public visibility of their wallet address and votes on-chain. MODIFICATION AND TERMINATION Valora may cancel, suspend, or modify any Contest or these Terms at any time without notice if, in its sole discretion, it determines such action is necessary or advisable. 10. GOVERNING LAW AND DISPUTES These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. All disputes shall be resolved in the courts located in San Francisco County, California, unless otherwise agreed upon. 11. INDEMNIFICATION By participating in a Contest, you agree to indemnify, defend, and hold harmless Valora, Inc., its affiliates, subsidiaries, directors, officers, employees, contractors, agents, partners, and licensors ("Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: • Your participation in the Contest, including any actions taken through your wallet or on your behalf; • Your violation of these Terms; • Any breach or alleged breach of any representation or warranty by you; • Your violation of any law, regulation, or rights of any third party, including but not limited to intellectual property, privacy, or publicity rights; • Any content or material submitted by you in connection with the Contest, including inaccurate, incomplete, or fraudulent information. This indemnity obligation shall survive the conclusion of any Contest and your participation therein. Valora reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Valora in asserting any available defenses. 12.
